Textile Consignment Inspection Agreement
This agreement outlines the terms and conditions for the inspection of textile consignments. The consignor agrees to deliver the consigned goods to a designated inspection location at a mutually agreed upon time. The inspector is responsible for verifying the authenticity, quality, and quantity of the goods. Any defects or discrepancies will be documented and reported to the consignor. The inspection fee will be paid by the consignor. If the goods pass the inspection, they will be released to the consignor. If they fail, the goods will be returned to the consignor at their expense. This agreement is binding upon both parties and may not be modified without prior written consent. Failure to comply with this agreement may result in legal action being taken against either party.

This Textile Consignment Inspection Agreement (the "Agreement") is made and entered into as of the _______ day of _______, 20______, by and between______________________ and ______________________ (hereinafter referred to as the "Seller"), a company organized and existing under the laws of _______, with its principal office at ____________, and ______________________, a company organized and existing under the laws of _______, with its principal office at ____________.
WHEREAS, Seller has agreed to sell and deliver certain textile products (the "Products") to Buyer;
WHEREAS, Buyer requires inspection of the Products to ensure their quality and compliance with relevant regulations;
WHEREAS, Seller desires to have the Products inspected by a third-party inspection firm (the "Inspection Firm");
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. CONSIGNMENT OF PRODUCTS
1、1. Seller shall consign the Products to Buyer on the terms and conditions set forth in this Agreement.
1、2. Seller shall deliver the Products to Inspection Firm at the place designated by Buyer.
2. INSPECTION OF PRODUCTS
2、1. Buyer shall hire the Inspection Firm to inspect the Products for quality and compliance with relevant regulations.
2、2. Inspection Firm shall perform the inspection within _______ days after receiving the Products from Seller.
2、3. Inspection Report (the "Report") containing the results of the inspection shall be provided to Buyer no later than _______ days after the end of the inspection period.
3. REIMburSEMENT OF FEES
3、1. Buyer shall pay Inspection Firm the fees for performing the inspection in accordance with this Agreement within _______ days after receiving the Report.
3、2. If the Products are found to be defective or non-conforming, Buyer shall reimburse Inspection Firm for all expenses incurred in connection with such defect or non-conformity.
4. LIABILITY OF SELLERS AND INSPECTION FIRM
4、1. Seller warrants that it has full authority to sell and deliver the Products, and that the Products do not infringe any intellectual property rights of any third party.
4、2. Inspection Firm warrants that it has the necessary expertise and experience to perform the inspection accurately and impartially, and that its services will be performed in a professional and timely manner.
5、GOVERNING LAW AND DISPUTE RESOLUTION
5、1 This Agreement shall be governed by and consTrued in accordance with the laws of _______ exclusive jurisdiction over any action arising out of or relating to this Agreement shall be in _______.
5、2 Any dispute arising out of or relating to this Agreement shall be resolved by arbitration in _______ in accordance with the rules of _______ then in effect, except that either party may seek relief in small claims court if the claim is otherwise eligible for such relief (the "Arbitration"). The award of an arbitrator (the "Award") shall be final and binding upon both parties, and judgment thereon shall be entered in any court having jurisdiction thereof.
