Purpose and Scope of the Agreement

2、Payment shall be made in installments based on the completion of specific stages or milestones in the processing of textile products;
3、The final payment shall be made upon inspection and approval of the processed textile products by Client.

5、If any payment is late or unpaid, Supplier reserves the right to suspend or terminate the processing of textile products for Client until all outstanding payments are settled.

If no resolution is reached, either party may submit the dispute to [Arbitration Institution] for arbitration in accordance with its arbitration rules. 7、All prices stated in this Agreement are exclusive of any taxes, duties, or other governmental charges that may be imposed on the processed textile products. Client shall bear responsibility for paying such taxes, duties, or other governmental charges in addition to the fees specified herein.
8、If there is a change in pricing due to changes in material costs, labor costs, or other factors beyond Supplier's control, Supplier reserves the right to adjust the pricing accordingly without prior notice to Client. However, if such change results in an increase in Supplier's costs for processing textile products for Client, Supplier shall provide Client with a written justification for the adjustment and obtain Client's consent before making such adjustment.
9、If Supplier fails to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, strikes, labor shortages, or other unforeseen events outside its control, Supplier shall not be liable for any damages resulting therefrom. In such event, Supplier shall use all reasonable means to minimize the effect thereof on Client's order execution schedule and promptly notify Client if there are any delays or disruptions to its processing activities.
